DoctorSupply USA Affiliate Program Agreement (Caresys Inc represents the DoctorSupply USA)

This Affiliate Program Agreement (the "Agreement") contains the terms and conditions that govern your participation in the Caresys Inc. Affiliate Program (the "Program"). By participating in the Program, you (the "Affiliate") acknowledge that you have read, understood, and agree to be bound by this Agreement. The term "you" refers to the Affiliate; "Caresys Inc." or "we" refers to Caresys Inc., a company incorporated and existing under the laws of the State of California, USA.

By participating in the Company's Affiliate Program, you agree to be bound by the terms and conditions outlined in this Agreement.



Enrollment in the Affiliate Program

To enroll in the Affiliate Program, you must submit a completed Affiliate Application. The Company reserves the right to accept or reject any application in its sole discretion. If your application is accepted, you will be granted approval to participate in the Affiliate Program.


Affiliate Responsibilities

As an Affiliate, you agree to:
Use your best efforts to market and promote the Company's products to potential customers.
Comply with all applicable federal, state, and local laws and regulations, including but not limited to the Federal Trade Commission's Guides Concerning the Use of Endorsements and Testimonials in Advertising.
Clearly disclose your relationship with the Company and that you may receive compensation for promoting the Company's products.
Regularly monitor and update your promotional materials to ensure they remain accurate and up-to-date with the Company's advertising policies.


Commission & payment terms

The Company shall pay you a commission equal to 5% of the net sales amount (excluding taxes, shipping, discounts, and returns) for each customer referred by you who completes a purchase through your unique Affiliate link. Commissions earned will be paid in US dollars. The Company will make all calculations of commission and determine the amounts payable to you.

Commissions shall be paid on a monthly basis, within 30 days following the end of each calendar month. The Company shall not be liable for any commissions not claimed within one year from the date of accrual.


Affiliate Link

You will be provided with a unique Affiliate link to track and identify your referrals. You are responsible for ensuring that your Affiliate link is appropriately integrated into your promotional materials. The Company is not responsible for lost commissions due to errors or omissions in your promotional materials.


Restricted Activities

You may not engage in any of the following activities:
Use of unsolicited commercial email (i.e., spam) or any other unsolicited or misleading promotional methods.
Promotion of the Company's products on any website or platform that contains or promotes adult content, hate speech, violence, or discrimination based on race, gender, religion, nationality, disability, sexual orientation, or age.
Use of any Company trademarks or copyrighted materials without the Company's prior written consent.


Intellectual Property Rights

You are granted a non-exclusive, non-transferable, revocable license to access the Company's marketing materials and to use the Company's logos, trademarks, and promotional materials solely for the purpose of promoting the Company's products under this Agreement. Any other use is strictly prohibited.


Term and Termination

This Agreement shall begin upon your acceptance into the Affiliate Program and will continue until terminated by either party. Either party may terminate this Agreement at any time, with or without cause, by giving the other party written notice of termination.



Upon the termination of this Agreement, any unpaid commissions shall be paid in accordance with the terms herein, and you shall promptly cease all use of the Company's intellectual property.



Confidentiality

During the term of this Agreement and for a period of one (1) year thereafter, you agree not to disclose any confidential information concerning the Company or its affiliates, including but not limited to customer lists, marketing strategies, and pricing information, to any third party without the Company's prior written consent.


Disclaimer of Warranties

THE COMPANY MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NONINFRINGEMENT, WITH RESPECT TO THE AFFILIATE PROGRAM.


Limitation of Liability

IN NO EVENT SHALL THE COMPANY BE LIABLE TO YOU FOR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES (INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, OR DATA) ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, THE AFFILIATE PROGRAM OR YOUR PARTICIPATION THEREIN, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.


Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, agents, and representatives from and against any and all claims, actions, demands, liabilities, damages, losses, settlements, judgments, costs, and expenses (including reasonable attorney's fees) arising from or related to your breach of any term of this Agreement or any violation of any law, regulation, or third-party rights.


Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising out of or relating to this Agreement shall be resolved exclusively in the state or federal courts located within California, and the parties consent to the personal jurisdiction of such courts.


Entire Agreement

This Agreement, together with any written amendments or modifications signed by both parties, constitutes the entire understanding and agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, whether oral or written, between the parties relating thereto.



By participating in the Affiliate Program, you hereby acknowledge that you have read and understand the terms and conditions of this Agreement and agree to be bound by its terms.

커미션 및 결제 조건

회사는 여러분이 소개한 각 고객에 대한 순매출액(세금, 배송, 할인 및 반품 제외)의 5%에 해당하는 커미션을 지불합니다. 지불은 미국 달러로 이루어지며, 회사는 커미션 계산 및 여러분에게 지불할 금액을 결정할 것입니다. 커미션은 매월 정산되며, 각 달의 마지막일로부터 30일 이내에 지급될 것입니다. 회사는 발생일로부터 1년 이내에 청구되지 않은 어떠한 커미션에 대해서도 책임지지 않습니다.

여러분은 소개된 고객을 추적하고 식별하기 위한 고유한 제휴 링크를 제공받게 됩니다. 여러분은 제휴 링크가 프로모션 자료에 적절하게 통합되도록 책임져야 합니다. 회사는 프로모션 자료의 오류 또는 누락으로 인한 손실된 커미션에 대한 책임을 지지 않습니다.


제한된 활동

여러분은 다음과 같은 활동에 참여해서는 안 됩니다:

- 승인되지 않은 상업용 이메일(스팸) 또는 다른 승인되지 않은 또는 오도로운 홍보 방법의 사용
- 성인 콘텐츠, 혐오 발언, 폭력 또는 인종, 성별, 종교, 국적, 장애, 성적 성향 또는 연령을 기반으로 하는 차별을 포함하거나 촉진하는 모든 웹사이트 또는 플랫폼에서 회사의 제품을 홍보
- 회사의 사전 서면 동의 없이 회사의 상표 또는 저작권 자료의 사용


지적 재산권

여러분은 본 계약에 따라 회사의 제품을 홍보하기 위해 회사의 마케팅 자료에 액세스하고 회사의 로고, 상표 및 프로모션 자료를 사용할 수 있는 배타적이고 양도불가능하며 철회 가능한 라이선스를 부여받습니다. 다른 용도로의 사용은 엄격히 금지됩니다.


기간 및 종료

본 계약은 여러분이 제휴 프로그램에 참여를 수락함으로써 시작되어 양 당사자 중 하나가 서면 통지로 종료할 때까지 계속됩니다. 어느 당사자든 상호 동의로 본 계약을 언제든지 원인과 무관하게 종료할 수 있습니다.



본 계약이 종료되면 미지급된 커미션은 본 계약의 조건에 따라 지급되며 여러분은 즉시 회사의 지적 재산의 모든 사용을 중단해야 합니다.



비밀 보장

본 계약 기간 동안 및 이후 1년 동안 여러분은 회사나 그 계열사에 관한 고객 명단, 마케팅 전략, 가격 정보 등을 포함하되 이에 국한되지 않는 회사나 그 계열사에 대한 기밀 정보를 회사의 사전 서면 동의 없이 제3자에게 공개하지 않기로 동의합니다.


책임의 부인

회사는 제휴 프로그램과 관련하여 상품성, 특정 목적에 대한 적합성, 소유권 또는 비침해성에 관한 어떠한 종류의 보증도 명시적으로나 묵시적으로 제공하지 않습니다.


책임의 한계

회사는 본 계약, 제휴 프로그램 또는 여러분의 참여와 관련하여 간접적, 특별, 부수적, 결과적 또는 모범적인 손해(이익 상실, 선량한 평판 상실, 데이터 손실을 포함하되 이에 국한되지 않음)에 대해 여러분에게 책임을 지지 않습니다. 심지어 회사가 그러한 손해의 가능성을 사전에 알고 있었더라도 해당합니다.


면책사항

여러분은 본 계약의 어떤 조건의 위반 또는 법률, 규정 또는 제3자 권리의 어떠한 위반으로 인한 모든 청구, 소송, 요구, 책임, 손해, 합의, 판결, 비용 및 비용(합리적인 변호사 비용 포함)으로부터 회사와 그 임원, 이사, 직원, 대리인 및 대표를 변호하고 면책시켜야 합니다.


법적 책임

본 계약은 캘리포니아 주의 법률에 따라 해석되고 규정되며 이의 법률 충돌 규정에 따라 해석됩니다. 본 계약에서 발생하는 분쟁은 캘리포니아 주 내에 있는 주 또는 연방 법원에서 배타적으로 해결되어야 하며 당사자는 이러한 법원의 개인 관할권에 동의합니다.


전체 계약

본 계약은 양 당사자 간에 서명된 서면의 수정 또는 변경을 포함하여 본 목적에 관한 당사자 간의 모든 이해와 합의로 구성되며 본 목적과 관련된 당사자 간의 모든 이전 및 동시 계약(구두 또는 서면으로 된 것 모두)을 대체합니다.



제휴 프로그램에 참여함으로써 여러분은 본 계약의 조건을 읽었으며 이해하였으며 본 계약의 조건에 동의하는 것으로 간주됩니다.
